What is an Annual Report (Statement of Information)?

In California, businesses are required to file a Statement of Information (often referred to as an annual report) with the Secretary of State to keep company details up to date. This filing ensures the state has the correct information about your business, including key contacts, addresses, and registered agents.

Who needs to file and what are the deadlines?

  • LLCs: Must file an initial Statement of Information within 90 days of formation and then every two years within the calendar month of formation.
  • Corporations: Are required to file an initial Statement of Information within 90 days of filing Articles of Incorporation. Ongoing filings are required annually and are due within the calendar month of incorporation.
  • Nonprofit Corporations: Also must file an initial Statement of Information within 90 days of filing their Articles of Incorporation. Reports are then due each year during the calendar month of incorporation.

What information is required?

This filing isn’t about financials—it’s about keeping your business records up to date with the California Secretary of State. Your Statement of Information will typically include:

  • Business name and entity number
  • Principal office address
  • Mailing address (if different from principal office address)
  • Names and addresses of officers, directors, or members
  • Registered agent information
  • Business activity description

How to file your Statement of Information in California

There are three ways to file:

  1. Online through the California Secretary of State website
  2. By mail with a completed paper form
  3. In-person at the Secretary of State office

While you can handle the filing yourself, many business owners opt to have a compliance expert handle it to avoid errors, penalties, and last-minute stress.
